TERMS OF SERVICE

ALLIANCE LIMOUSINE SERVICE OFFERS THE FINEST IN SEDAN, STRETCH AND SUPER LIMOUSINE, SUV and STRETCH SUV, VAN SERVICE THROUGHOUT DOWNTOWN LOS ANGELES THE GREATER LOS ANGELES AREA, WEST LOS ANGELES, SOUTH BAY, SAN FERNANDO VALLEY, SAN GABRIEL VALLEY, ORANGE AND VENTURA COUNTY.

Terms and Conditions of Alliance Limousine Service, Los Angeles (hereafter referred to as the company)

1 HIRE

1.1 The vehicle owner and company hereby hires to the hirer vehicle (s) for the dates of hire and at the rentals in each case as states in the reservation form hereto upon the terms and subject to the conditions hereinafter appearing.

1.2 The vehicle (s) set out on the reservation form hereto shall be driven and under sole custody of the owners or companies chauffeur throughout the date or dates of hire.

2 COMMENCEMENT OF HIRE

2.1 The hiring of the vehicle (s) will be for the date or dates of hire as agreed on the reservation form hereto.

2.2 The owner and the company will use all reasonable endeavours to have each vehicle available for delivery on the date or dates specified and at the times specified on the reservation form but the owner and the company shall not incur any liability whatsoever in the event of any delay.

3 RENTALS

3.1 The hirer will pay to the company in advance a non-returnable deposit in the amount requested at the time of booking or at any later time as requested by the company. The balance of the rental shall be due and payable on the later of 30 days in advance of the booking or upon booking if less than 30 days in advance, but subject to any adjustment on clause 4 below.

3.2 All payments due hereunder shall be made at its address stated herein or at such other address or to such other persons the owner or the company may from time to time communicate to the hirer. Any payments sent by post shall be sent at the risk of the hirer.

3.3 The hirer is also liable for any time the vehicle (s) and chauffeur (s) are waiting as is unreasonable in the circumstances and is caused through the fault of the hirer and is the fault of the hirer or any other person other than the owner or the companies. This shall be at a reasonable rate at the discretion of the owner.

3.4 Should the chauffeur (s) require overnight accommodation such expenses for the same shall be the full responsibility of the hirer.

3.5 Extra expenses for tolls, parking, regulatory or license fees, airport fees or other amounts assessed by the Federal, Provincial, State, Municipal regulatory bodies, or for extra drivers or items requested by the hirer will be added to the bill and paid for by the hirer.

4 REVISION OF RENTAL

4.1 The hirer expressly acknowledges and accepts that the owner and the company shall be entitled to revise the rental on the booking form (by such amount as the owner or the company shall in its absolute discretion determine) at any time before the commencement of the hire in the event that between the date of commencement of hire (but not otherwise) if there are increased expenditure or outgoing payable by the owner or the company in respect of either the vehicle (s) or chauffeur (s) or both.

4.2 Any such revision will be notified to the hirer as soon as practical and in the event on or before the commencement of hire. In the event that the hirer does not accept such price revision it shall be the right of seven days after receipt of such notification to serve notice on the owner or the company cancelling this agreement. The hirer will then incur no liability or obligation to the owner or the company on account of such cancellation.

4.3 If during a trip the hirer desires to change routing, make extra side trips, or extend the trip, thereby increasing the service over that which was contracted for, additional charges for such service will be assessed at the applicable rate, and the hirer agrees to pay such charges.

4.4 Charges are computed from and return to the dispatch terminal or the equipment storage place.

5 USE OF VEHICLES

5.1 The vehicles are not to be used and the hirer will not request them to be used for any purpose other than for which it had been expressly agreed and allowed by law. The chauffeur has an absolute discretion of the owner and the company to accommodate to the best of his or her abilities the wishes of the hirer for the date or dates of hire.

6 DUTIES OF THE OWNER

6.1 The owner shall during the continuance of this hire agreement have a valid vehicle licence and insurance for the vehicle (s).

6.2 Be liable for all servicing maintenance and damage to the vehicle (s) caused to the vehicle (s) by the owner or the companies however the owners liability shall not extend to any injury or damage caused to the hirer and his or her goods or property except as imposed by common law.

6.3 In the event a vehicle becomes temporarily un-roadworthy or unavailable for whatever reason (other than as a result of accident damage theft or vandalism) make available a replacement vehicle (not necessarily of the same type or age) for use by the hirer as soon thereafter as practicable after receipt of notification from the hirer requesting the same. The same replacement vehicle shall be available to the hirer for the same date or dates as previously agreed. The owner and the company may at its discretion from time to time withdraw any vehicle and substitute another vehicle of similar make and type or provide such a suitable alternative for the hirer use as it considers reasonable and necessary.

7 DUTIES OF THE HIRER

7.1 The hirer shall during the continuance of this hire agreement:

7.2 Indemnify the owner against all fines penalties and liabilities imposed on the owner or arising in respect of any non-compliance or other contraventions of any transport law or regulations together with any cost or expense relating thereto incurred by the owner if the said contravention is due to the fault of the hirer.

7.3 Bear the cost of repair or rectification of any damage to the vehicle (s) by the hirer or any persons permitted by the hirer to use the vehicle (s).

7.4 Notify the owner and his *agent of any change of the hirers address or requirements and wished in respect of the agreed hiring.

8 GENERAL LIABILITY

8.1 The owner does not hire the vehicle (s) subject to any warranty either implied or statutory in connection for the fitness for any purpose or age of the vehicle (s) and any conditions and warranties are hereby expressly in so far as permitted by statute and (save for the owner's liability for the death and personal injury caused by the negligence of the owners employees or agents). The owner will not be responsible.

8.2 The hirer shall be solely responsible for and hold the owner and the company fully indemnified against all claims, demands, liabilities, losses, damages processing costs and expenses suffered or incurred by the owner as a result of any breach or default on the part of the hirer in the discharge of its obligations under this hire agreement.

8.3 The owner or company will not be responsible for anything relating to Canadian or United States Immigrations or Customs for any contingency or delays arising out of the inability of any passenger to meet the requirements thereof.

8.4 Baggage will NOT be checked. Personal baggage, musical instruments, athletic equipment, and other paraphernalia necessary for the purpose of the charter trip are limited to the capacity of the charter vehicle and will be transported in the custody of the hirer at no additional charge. The company is NOT responsible for any lost stolen, damaged bags, or other items.

8.5 The agent will not be responsible for delays caused by accident or breakdown, conditions of the road, weather, or other conditions beyond its control and does not agree or guarantee to arrive at or depart from any point at a specific time.

9 TERMINATION

9.1 If the hirer shall fail to pay any deposit or balance payable under this hire agreement (or under any other agreement between the owner and the company and any agreement between the owner and subsidiary and the owner, any holding company and the hirer) where there are more than 21 days until the commencement of the journey (s) a deposit or in the case where there are 21 days or less to the booked date of the journey (s) the full balance the hirer shall be deemed to have repudiated this hire agreement and the owner and the company may thereupon by notice in writing to the hirer for all purposes forthwith terminate the hire agreement.

9.2 If the hirer should terminate this agreement within twenty one days prior to the date or dates of hire, the full price for rental shall become due and payable and this without prejudice to cause.

9.3 If the owner and the company shall at any time commit a breach of any of the terms and conditions whether express or implied of this hire agreement then (provided the hirer is not also in breach) the hirer may cancel this agreement (without prejudice to his or their right to claim damages to that breach).

9.4 The termination constituted by this agreement shall not affect any rights of the owner or the company or liabilities of the hirer subsisting at the date of termination.

10 OWNERS INTERVENTION

10.1 If the hirer fails to comply with or commits a breach of any provision of this hire agreement the owner or the company may without in any way being obliged to do so or responsible for so doing and without prejudice to the ability of the owner or the company to treat that non compliance the hirer will become liable to pay immediately any sums expended to the owner or the company together with all costs and expenses including legal costs in connection therewith.

11 FORCE MAJEUR

11.1 Although the owner and the company will use all reasonable endeavours to discharge its obligations under this hire agreement in a prompt and efficient manner, it does not accept responsibility for any failure or delay caused by circumstances beyond its control.

12 CONSTRUCTION

12.1 Where there are two or more parties of this hire agreement as hirer their liability hereunder shall be joint and several. In this hire agreement and where the context so admits or requires the masculine gender shall include the feminine or neuter (and vice versa) and expressions in the singular shall include the plural.

13 GOVERNING LAW

13.1 This hire agreement shall be governed by and in accordance with the laws of California and US Laws. The hirer irrevocably submits to the non exclusive jurisdiction of the US courts.
